Terms of Service

    1. Acceptance of Terms

    By accessing and using the services provided by IT-MSP Ltd ("we", "us", "our"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, you should not use our services.

    These Terms of Service apply to all clients, visitors, and others who access or use our services. We reserve the right to update or modify these terms at any time without prior notice.

    2. Services Provided

    IT-MSP Ltd provides managed IT services including, but not limited to:

    • IT Support Services: Technical support, helpdesk services, remote and on-site assistance, system maintenance, and troubleshooting.
    • Communications Solutions: VoIP systems, unified communications, business telephony, and collaboration tools.
    • Cyber Security Services: Security assessments, threat monitoring, data protection, firewall management, and security awareness training.
    • Infrastructure Management: Network management, server administration, cloud services, and backup solutions.

    The specific services provided to you will be outlined in your individual service agreement or contract with IT-MSP Ltd.

    3. Service Level Agreements

    Service Level Agreements (SLAs) may be established as part of your individual contract. These SLAs define the expected level of service, response times, and performance metrics. The terms of any SLA will be detailed in your service contract.

    Our standard business hours are Monday to Friday, 9am to 6pm. Emergency support outside of these hours may be available depending on your service agreement.

    4. Client Responsibilities

    As a client of IT-MSP Ltd, you agree to:

    • Provide accurate and complete information necessary for us to deliver our services
    • Maintain appropriate security measures on your systems and networks
    • Ensure that any software or systems we support are properly licensed
    • Notify us promptly of any issues, changes, or security concerns
    • Provide reasonable access to your systems and premises as required for service delivery
    • Ensure that your use of our services complies with all applicable laws and regulations
    • Maintain appropriate backups of your data unless this is included in your service agreement

    5. Payment Terms

    Payment terms will be specified in your individual service agreement. Unless otherwise agreed:

    • Invoices are due within 30 days of issue
    • We reserve the right to charge interest on overdue payments at 4% above the Bank of England base rate
    • Services may be suspended if payment is not received within 60 days of the invoice date
    • All prices are quoted exclusive of VAT unless otherwise stated

    6. Intellectual Property

    All intellectual property rights in any materials, software, documentation, or other deliverables created by IT-MSP Ltd remain the property of IT-MSP Ltd unless explicitly transferred in writing. You are granted a non-exclusive licence to use such materials for your internal business purposes only.

    You retain all intellectual property rights in your own data, content, and materials.

    7. Limitation of Liability

    To the maximum extent permitted by law, IT-MSP Ltd shall not be liable for:

    • Any indirect, incidental, special, consequential, or punitive damages
    • Loss of profits, revenue, data, or business opportunities
    • Damages arising from the use or inability to use our services
    • Damages arising from third-party services or software

    Our total liability for any claim arising from or related to our services shall not exceed the total amount paid by you for services in the twelve months preceding the claim.

    Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

    8. Confidentiality

    Both parties agree to keep confidential all information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation shall survive the termination of any service agreement.

    We implement appropriate technical and organisational measures to protect your confidential information and data in accordance with industry best practices and applicable data protection laws.

    9. Termination

    Either party may terminate services in accordance with the terms of the individual service agreement. Unless otherwise specified:

    • Monthly services may be terminated with 30 days' written notice
    • Fixed-term contracts will continue until the end of the agreed term
    • Either party may terminate immediately if the other party materially breaches these terms and fails to remedy the breach within 14 days of written notice

    Upon termination, you remain responsible for payment of all services rendered up to the termination date.

    10. Governing Law

    These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or related to these terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

    11. General Provisions

    Entire Agreement: These Terms of Service, together with any individual service agreement, constitute the entire agreement between you and IT-MSP Ltd regarding the services.

    Severability: If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

    Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
